Terms of Service

These terms govern your use of Vinssi. By creating an account, signing in, or using Vinssi, you agree to these terms. If you do not agree, do not use Vinssi. These terms do not apply retroactively to a separately signed agreement that expressly states it governs instead.

1. Who provides Vinssi

Vinssi is an application hosting service provided by Vertics Oy, business ID 2819846-9, Miestentie 5–9, 02150 Espoo, Finland. Contact us at cloud@vertics.co for account, billing, support, or service concerns. In these terms, “we” means Vertics Oy and “you” means the customer using Vinssi.

2. Your account

These terms are drafted for business and professional use. If you act for an organisation, you must have authority to manage its account and order paid services. Keep your account and billing information accurate, protect your credentials and API tokens, and give access only to authorised people. You are responsible for deployments and purchases made by people and automation you authorise. Tell us promptly if you suspect unauthorised access.

3. The service

Vinssi builds and runs applications from connected repositories, publishes static pages, and offers managed PostgreSQL databases. The dashboard, checkout, and plans and limits describe available resources and charges. Applications run with a single instance and no persistent local disk; store durable data in a suitable database or external storage service. You are responsible for your application code, dependencies, licences, content, and configuration.

Builds, deployments, maintenance, and database changes can interrupt your application. No uptime percentage, recovery time, or support response time is promised by these terms. Any separately agreed service levels remain governed by that agreement.

4. Acceptable use

Use Vinssi lawfully and respect other people’s rights. Do not host illegal content, malware, phishing, or spam; attempt unauthorised access; interfere with other customers; or bypass security, billing, or resource limits. Only test systems you are authorised to test. We may restrict affected services to address abuse, security incidents, or legal requirements. Contact support if you believe a restriction is mistaken.

Report suspected illegal content to cloud@vertics.co with its exact URL or location, your reasons, supporting information, and your contact details where required. Confirm that your report is accurate to the best of your knowledge. We assess reports and may remove content or suspend affected services, including without advance notice when required by law or necessary to address an immediate threat. We provide reasons and information about available remedies where required by law.

5. Your content and data

Customer Content means the code, applications, files, data, and other material hosted or processed through your account, including material supplied by your users or generated by tools you authorise. You are responsible for its legality, accuracy, security, licences, and permissions, and for your application’s operation and dealings with its users. Hosting does not make Vertics the author, seller, or end-user service provider of your application. We do not endorse Customer Content or guarantee that it is lawful, safe, or fit for a particular use.

You retain your rights in your code and content. You authorise us to access, build, store, copy, and serve them as needed to operate Vinssi and carry out your instructions. Make sure you have the rights and permissions needed to upload and process them. This permission does not transfer ownership of your content to Vertics.

You control what your applications collect and must provide appropriate notices to their users. Personal data hosted on your behalf requires appropriate data-processing terms. Contact us to arrange those terms before using Vinssi for that processing; these terms are not a data processing agreement. The Vertics privacy statement describes its stated scope of corporate website and contact processing, and does not replace terms covering your hosted application data.

6. Billing and credits

Project plans and database add-ons are billed through the workspace subscription. Prices are in euros and exclude VAT unless stated otherwise. Review the price and billing details before confirming an order. Plan changes are prorated where shown in checkout or the dashboard. Database downgrades take effect at the end of the billing period.

Available workspace credits are applied to invoices before your payment method is charged. Keep a valid payment method and review your invoices. Contact us about a disputed charge or refund request; these terms do not establish a separate refund policy or limit rights provided by applicable law.

7. Backups and database lifecycle

Keep independent copies of data you need and test your recovery process. Backup availability and retention depend on the selected database tier. Consult the database documentation before changing tiers, cancelling, or deleting a database. Restores currently require a support request.

A database is suspended seven days after its subscription ends and deleted thirty days after suspension. Reactivating during suspension can restore service. Manual database deletion removes the database and cancels its charge. Deleting a dedicated database also removes its backups. Lite retains a final dump for seven days. Export anything you need before deletion; a running app does not preserve a deleted database.

8. Ending service

Manage subscriptions through Billing and export your data before ending service. Contact us if you need help closing an account. Disconnecting a repository or stopping deployments does not itself cancel paid resources. Charges already incurred remain payable, subject to any correction or refund due under your agreement or applicable law.

Without an active project plan, new deployments are blocked even if an existing app continues serving. Database suspension and deletion follow the lifecycle above. Do not rely on continued hosting after a subscription ends.

9. External services

Vinssi relies on infrastructure and integrations, including UpCloud, GitHub, Clerk, and Stripe. Your separate accounts with those providers remain subject to their terms. Hosting applications in Helsinki does not mean every account, payment, or integration record is processed only in Finland. Confirm data-processing arrangements with us for your requirements.

10. Liability

To the extent permitted by law, Vertics is not liable for Customer Content or claims arising from your application, its users, or your transactions with them. This does not excuse our own breach of agreed hosting, security, or data-processing obligations.

Subject to the exceptions below, Vertics is not liable for indirect or consequential loss, including lost profits, revenue, or business opportunities. Unless a signed agreement or applicable data processing agreement provides otherwise, our total liability arising from the service is limited to the service fees you paid us during the six months before the event giving rise to the claim. This is an aggregate limit, not a separate limit for each claim.

These exclusions and limits do not apply to intentional misconduct, gross negligence, or liability that applicable law does not allow us to exclude or limit. They do not restrict statutory rights of data subjects or bind third parties who have not agreed to these terms.

11. Claims concerning your content

You will defend Vertics against third-party claims arising from Customer Content, your infringement of another person’s rights, or your unlawful use of Vinssi. You will reimburse reasonable defence costs and damages awarded or settlements approved by you. This obligation applies only to the extent the claim is attributable to you; it does not cover our own breach, negligence, or misconduct. We will promptly notify you, provide reasonable cooperation, and allow you to manage the defence with competent counsel. You may not admit liability for Vertics or impose an obligation on us through a settlement without our written consent.

12. Changes, governing law, and disputes

We may update these terms to reflect the service, legal requirements, or business needs. We will post the revised terms with a new effective date and notify you of material commercial changes before they take effect for existing customers. Continued use of Vinssi after a change takes effect means you accept the revised terms.

These terms are governed by the laws of Finland, excluding its conflict-of-law rules. Raise a dispute with cloud@vertics.co first so we can try to resolve it directly. Unresolved disputes are subject to the exclusive jurisdiction of the courts of Finland, save where applicable law grants you the right to bring proceedings elsewhere. Governing-law and dispute-resolution provisions in an existing signed agreement continue to apply to that agreement.
